Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 3, 2022, L&F Acquisition Corp. (“LNFA”) held an extraordinary general meeting of shareholders (the “Extension Meeting”), to amend LNFA’s memorandum and articles of association (the “Charter Amendment”) to extend the date by which LNFA has to consummate a business combination from May 23, 2022 to August 24, 2022 (the “Extension Amendment Proposal”). On May 3, 2022, LNFA filed the Charter Amendment with the Registrar of Companies of the Cayman Islands.

 The foregoing description is qualified in its entirety by reference to the Charter Amendment, a copy of which is attached as Exhibit 3.1 hereto and is incorporated by reference herein.

Item 5.07 Submission of Matters to a Vote of Security Holders.

On May 3, 2022, LNFA held the Extension Meeting to approve the Extension Amendment Proposal and the Adjournment Proposal, each as described in the definitive proxy statement of LNFA relating to the Extension Meeting, which was filed with the Securities and Exchange Commission (the “SEC”) on April 12, 2022. As there were sufficient votes to approve the Extension Amendment Proposal, the Adjournment Proposal was not presented to shareholders.

Holders of 16,847,644 ordinary shares of LNFA held of record as of April 4, 2022, the record date for the Extension Meeting, were present in person or by proxy, representing approximately 78.13% of the voting power of LNFA’s ordinary shares as of the record date for the Extension Meeting, and constituting a quorum for the transaction of business.

 In connection with the vote to approve the Extension Amendment Proposal, the holders of 13,824,311 Class A ordinary shares of LNFA properly exercised their right to redeem their shares for cash at a redemption price of approximately $10.154 per share, for an aggregate redemption amount of approximately $140,378,518.

RESOLVED, as a special resolution, that:
 
(a)
the first sentence of Article 49.7 of L&F’s Amended and Restated Memorandum and Articles of Association be deleted in its entirety and replaced with the following new first sentence of Article 49.7:
 

“In the event that the Company does not consummate a Business Combination within 21 months from the consummation of the IPO, or such later time as the Members may approve in accordance with the Articles, the Company shall:”

Article 49.8(a) of L&F’s Amended and Restated Memorandum and Articles of Association be deleted in its entirety and replaced with the following new Article 49.8(a):
 

“to modify the substance or timing of the Company’s obligation to: (i) allow redemptions of the Public Shares in connection with a Business Combination or: (ii) redeem 100 per cent of the Public Shares if the Company has not completed a Business Combination within 21 months from the closing of the IPO, or such later time as the Members may approve in accordance with the Articles; and/or”
